Terms of Service for the Team Manage platform.

These Terms govern access to Team Manage, including our web application, managed services, support activities, and related documentation. They are written for business use and are intended to set clear expectations for both Team Manage and each subscribing organization.

Contract scope

These Terms work alongside any order form, statement of work, or service addendum executed between Team Manage and your organization.

Business use

Team Manage is designed for company, departmental, and operational use by authorized staff, contractors, and invited users.

Shared responsibility

We secure the service and operate the platform. Customers remain responsible for lawful data use, workspace configuration, and internal user oversight.

1. Acceptance and account authority

By accessing or using Team Manage, the customer agrees to these Terms. If the person accepting these Terms is acting on behalf of a company, department, or other legal entity, that person represents that they have authority to bind that entity. Workspace administrators may invite users, assign permissions, and manage subscriptions on the customer’s behalf.

2. Access rights and permitted use

Subject to these Terms and any applicable commercial agreement, Team Manage grants the customer a limited, non-exclusive, non-transferable right to access and use the service during the subscription term.

Permitted use includes

  • Managing tasks, teams, approvals, workflows, files, and operational reporting.
  • Configuring role-based access and internal business processes.
  • Using API, support, and implementation features included with the subscribed plan.

Restricted activities include

  • Reverse engineering, unauthorized scraping, or attempting to bypass product security.
  • Uploading unlawful, infringing, deceptive, or harmful content.
  • Using the service to interfere with availability, integrity, or performance for other users.

3. Customer responsibilities

The customer is responsible for workspace-level governance. That includes validating that uploaded data can be lawfully processed, assigning appropriate access levels, and promptly disabling access for users who should no longer use the platform.

The customer is also responsible for its own devices, networks, browser environments, integrations, and any third-party tools connected to Team Manage. Team Manage is not responsible for vulnerabilities introduced by customer-managed infrastructure or unsupported customizations.

4. Fees, billing, and plan changes

Paid subscriptions, implementation packages, and managed services are billed according to the applicable order form, invoice, or pricing plan. Unless a written agreement states otherwise, fees are non-refundable once the relevant service period begins.

If a customer upgrades, downgrades, adds seats, or purchases additional services, billing may be adjusted on a prorated or renewal basis as described in the relevant commercial terms. Team Manage may suspend access for overdue undisputed amounts after reasonable notice.

5. Data ownership, confidentiality, and feedback

As between the parties, the customer retains ownership of customer data submitted to the service. Team Manage does not acquire ownership of operational records, files, workflows, or internal business content merely because that content is stored or processed through the platform.

Each party agrees to protect confidential information disclosed by the other using reasonable safeguards. Confidential information does not include information that is public through no fault of the receiving party, independently developed, or lawfully obtained from another source without confidentiality restrictions.

If the customer provides comments, ideas, or product suggestions, Team Manage may use that feedback to improve the service without restriction, provided the feedback does not disclose the customer’s confidential information.

6. Intellectual property and service changes

Team Manage and its licensors retain all rights, title, and interest in the platform, software, documentation, visual design, service content, and related technology. No rights are granted other than the limited use rights expressly stated in these Terms.

We may modify, enhance, or retire product features over time, provided that such changes do not materially reduce the core functionality of a paid service during an active term without a reasonable business justification.

7. Warranties, disclaimers, and limitation of liability

Team Manage will operate the service in a professional manner and use commercially reasonable efforts to maintain service availability and security controls consistent with the subscribed offering. Except as expressly stated in a signed agreement, the service is provided on an "as available" basis.

To the maximum extent permitted by law, Team Manage disclaims implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The customer acknowledges that no cloud service can be entirely free from interruptions, defects, or external threats.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, even if advised of the possibility of such damages. Team Manage’s aggregate liability arising out of or related to these Terms will not exceed the fees paid by the customer for the affected service during the twelve months preceding the event giving rise to the claim.

8. Suspension, termination, and survival

Team Manage may suspend access if necessary to protect the service, investigate credible misuse, respond to legal requirements, or prevent security harm. Where practical, we will provide notice and work with the customer to restore service promptly.

Either party may terminate for material breach if the breach remains uncured after reasonable written notice. Upon termination or expiration, customer access may be removed after any contractually agreed export or transition period.

Sections relating to fees owed, confidentiality, intellectual property, disclaimers, liability limits, dispute terms, and other provisions that by their nature should survive will remain in effect after termination.

9. Order of precedence and contact

If there is a conflict between these Terms and a signed order form, statement of work, or service addendum, the signed commercial document will control for that specific subject matter. Separate privacy, security, or data processing commitments may also apply where expressly incorporated.
